General terms applicable when using Cayra cloud service

- By using the service, you fully accept and agree to be bound by these terms.
- Cayra is an AI-assisted cloud service; AI outputs may contain errors and require human verification for critical use cases.
- Details about data processing, privacy and third-party model usage may also be explained in the Privacy Policy and, where relevant, separate enterprise documents.
1. SERVICE SCOPE
Service: Cayra cloud-based AI data analytics service
Purpose: Accelerating natural language querying, SQL generation, analytics and internal data access
Architecture:
β Customer data primarily remains in your own data sources
β Cayra provides the access, analytics and AI-assisted query generation layer
β Limited account, usage and technical metadata may be processed for service operation and security
2. SERVICE MODEL AND SUPPORT
2.1 Cloud Service Scope

Your Responsibility:
- Security of your account credentials and connection access
- Your own data infrastructure, backup procedures and access permissions
- Appropriate review of AI-generated content and SQL outputs before use
- Use in compliance with applicable law, internal policies and sector-specific obligations
2.2 Availability and Support

Important Notes:
- Unless a separate enterprise SLA is expressly agreed, no specific uptime percentage is guaranteed.
- You should operate your own testing, approval and backup processes for critical workflows.
3. SUBSCRIPTION AND PAYMENT
3.1 Subscription
Model: Monthly, annual or enterprise custom plan
General Framework:
- β’ Plans may differ by user count, feature set and support scope
- β’ Enterprise customers may be subject to custom order forms or additional contract terms
- β’ Subscriptions may renew at the end of each period unless cancelled under the applicable plan rules
Getting Started:
1. Select a plan or receive a quote
A suitable plan is chosen through the website or sales process
2. Payment
A payment method is added and the relevant billing period is charged
3. Activation
Your account and service access are activated
Subscription conditions apply as described in your plan screen or order documentation
3.2 Payment Terms
Payment Methods:
- β’ Credit Card (Visa, Mastercard, Amex)
- β’ Bank Transfer / EFT
- β’ Corporate Invoice (30 days term - Enterprise only)
Subscription fees are charged at the start of the relevant period or under the agreed invoice terms
Invoice:
- β’ Automatic e-invoice issued for each payment
- β’ Taxes and legal charges may apply under applicable law
- β’ Late payment may result in suspension or restriction of the service
3.3 Usage-Based Charges
Certain features may be subject to usage-based pricing depending on your selected plan or order terms.
If token, quota or third-party usage charges apply, they will be described in your account plan, order form or proposal documents.
General Principles
Usage-based charges may arise from:
- β’ AI model usage, messaging, search or similar external service costs
- β’ Use above included plan limits or additional capacity
- β’ Custom enterprise integrations or separately ordered additional services
β οΈ Unless expressly stated otherwise, prepaid usage balances are non-refundable and prices may be updated at renewal or with reasonable advance notice.

4. DATA OWNERSHIP AND CONTROL
4.1 Ownership of Your Data
- β All data you enter completely belongs to you
- β We DO NOT CLAIM ownership of your data
- β You may delete or export your data to the extent supported by product features
- β Technical and operational data categories processed for the service are further described in the privacy policy
4.2 Cayra's Intellectual Property
- π Cayra platform, code, algorithm and documentation belong to the Company
- π What you are given: A limited, non-exclusive, revocable usage license
- π Prohibited: Copying, redistribution, derivative works, reverse engineering
- π License ends: When service is cancelled or contract ends
5. PROHIBITED USES
The following are categorically prohibited:
- β Reselling, sublicensing or commercially providing the service to third parties
- β Reverse engineering, bypassing protections or interfering with the integrity of the system
- β Using the service for unlawful purposes, abuse or security-risk behavior
- β Excessive resource consumption, automated attacks, spam or destabilizing traffic
- β Violating others' rights
- β Distributing malware, malicious code or illegal content
- β Using the service for sensitive data scenarios without the controls required by applicable law or policy
If Cayra discovers behavior violating these prohibitions, it may immediately suspend or terminate your account.
6. USE OF AI OUTPUTS
π¨ Cayra outputs are decision-support outputs; final validation and operational responsibility remain with the user.
RECOMMENDED CONTROLS
Step 1: Review outputs with human oversight
AI-generated SQL, analyses or summaries should be reviewed by a human
Step 2: Test in a safe environment first
Where possible, validate outputs in test, staging or read-only environments
Step 3: Use approval gates for critical actions
Deletion, updates, financial reporting or regulated workflows require additional review
Step 4: Maintain backup and rollback procedures
Operate your own safeguards against data loss, performance issues or incorrect outputs
Responsibility
Operational responsibility for AI outputs applied without adequate human review remains with the user.
- β Cayra does not guarantee the correctness of AI output on its own
- β The user is responsible for validating suitability in its own context
7. WARRANTIES AND DISCLAIMER
7.1 Warranty Disclaimer
SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY KIND OF WARRANTY.
7.2 Known Risks
- Cloud infrastructure, network or third-party interruptions may occur
- The platform may at times be slow, unavailable or unstable
- Features may change without prior notice
- AI outputs may be incorrect, incomplete or contextually inappropriate
- User configuration, data quality or access scope may produce incorrect results
7.3 AI-Specific Warnings
π¨ ANNOUNCEMENT: You acknowledge that AI-generated content MAY NOT BE CORRECT and MAY HAVE OPERATIONAL CONSEQUENCES
- π¨ AI may generate incorrect, incomplete, biased or contextually inappropriate outputs
- π¨ AI-generated queries and actions should not be used directly in production without human approval
- π¨ Users should properly limit their own data access rights and security controls
- π¨ The behavior and continuity of third-party model providers are not fully under Cayra's control
- π¨ Final decision, approval and execution responsibility remains with the user or customer
8. LIABILITY LIMITATION
8.1 General Liability Cap
OUR MAXIMUM LIABILITY: Limited to the total amount actually paid by you for the service during the 12 months preceding the claim.
Scope: This cap applies to direct claims arising from the service, except where liability cannot be limited by mandatory law.
8.2 WE ARE NOT LIABLE IN ANY CASE
We are absolutely not liable in the following cases:
- β Damages arising from incorrect or inappropriate interpretation of AI outputs
- β Consequences caused by the user's failure to operate adequate review, testing or approval processes
- β Indirect damages, revenue loss, profit loss, business interruption or reputational harm
- β Interruptions or failures of third-party model, infrastructure or integration services
- β Damages caused by the user's own data infrastructure, access settings or backup deficiencies
- β Third-party claims and consequential losses except where mandatory law provides otherwise
9. SERVICE TERMINATION
9.1 You Can Terminate Subscription (Anytime)
Cancel: Click "Cancel Subscription" in account dashboard or email privacy@cayra.io
Subject: "Subscription Cancellation Request"
Result:
- β’ Your subscription ends at the end of current period
- β’ Unless expressly stated otherwise, unused prepaid balances are not refunded
- β’ Relevant technical data may be deleted or access-restricted subject to legal and operational retention requirements
- β’ You can resubscribe anytime
9.2 Cayra Can Terminate Service
Reasons:
- β’ Material violation of these terms
- β’ Abuse, security risk or unlawful use
- β’ Non-payment or repeated payment failure
- β’ Legal obligation or serious compliance risk
- β’ Commercial discontinuation or restructuring of the service
Notice: Reasonable notice may be provided depending on the circumstances; urgent security or payment issues may result in faster suspension.
10. POLICY CHANGES
- Important changes are announced within a reasonable period through the website or account communication channels
- The current version is always published on the website
- Continued use of the service means acceptance of the updated terms

11. SUBSCRIPTION MANAGEMENT AND RENEWAL
11.1 Subscription Lifecycle
Subscription Duration:
Standard: Monthly, annual or contractually agreed billing periods
Auto-renewal or manual renewal may apply depending on the plan type
Renewal Reminder:
Timing: Where applicable, before renewal
Method: Via account screen, email or sales communication
New pricing, updated terms or period changes may be shared
11.2 Renewal Scenarios
Auto-Renewal (Default)
If your plan includes auto-renewal, it continues automatically at the end of the period
Process: The registered payment method is charged and service continues without interruption
Price changes are shown before the new period or in the account experience
Manual Cancellation
You turned off auto-renewal or cancelled
Process: Access ends at the close of the current period and related data handling follows standard retention rules
Payment Failed
If payment fails during auto-renewal
Process: Service may be restricted, suspended or terminated at period end until payment is resolved
Billing and access status may be communicated through the account or contact channels
12. APPLICABLE LAW
Applicable Law: Laws of the Republic of Turkiye
Jurisdiction: Ankara Courts and Enforcement Offices
